The Seminar on “Solutions to the Latest Practical Problems of Scientific Innovation, Hong Kong Stocks and U.S. Stocks under the Cayman Economic Substance Law” was Successfully Held

On the afternoon of May 7th, 2019, DLA Piper Global Law Firm and Beijing DHH (Shanghai) Law Firm jointly held a Seminar “Solutions to the Latest Practical Problems of Scientific Innovation, Hong Kong Stocks and U.S. Stocks under the Cayman Economic Substance Law” on the 62nd floor of the Shanghai Tower. More than 30 enterprise representatives attended the Seminar.
 

Ms. Yuexi Yao, Senior Partner of DHH and Executive Director of Beijing DHH (Shanghai) Law Firm, delivered an opening speech to welcome all the representatives and invited them to have a self-introduction. Then the moderator introduced the keynote speakers, who were Lawyer Yang Ge of DLA Piper Global Law Firm, General Manager Lexing Shen of High-end Liability Insurance of Ping An Property Insurance (Headquarters), Lawyer Yuexi Yao, Lawyer Zhenwei Yang and Lawyer Hailei Shi of Beijing DHH (Shanghai) Law Firm.
 

First, Ms. Yang Ge, Partner of DLA Piper Global Law Firm, shared on Choices of Places to List for Growth-type Enterprise and Advantages & Disadvantages. He compared the listing conditions and approval systems of Scientific Innovation, Hong Kong Stocks and U.S. Stocks, and then interpreted the specific situation of Scientific Innovation Board, the latest listing requirements of Hong Kong Stocks and the current situation of Chinese companies going public in the U.S..
 

Lawyer Zhenwei Yang, Senior Partner of DHH and Director of Legal Committee on Finance and Taxation, expressed his own views on how to choose the listing places combining his own experience and Lawyer Ge’s speech. And then he delivered a speech on The Way of Financial and Tax Compliance for Science & Technology Enterprises to Successfully Integrate into the Capital Market
 

Subsequently, Mr. Lexing Shen, General Manager of High-end Liability Insurance of Ping An Property Insurance (Headquarters), shared on Risks and Risk Control of Listing in China, Hong Kong, and the U.S.. 
 
 

 

During the Tea Break, the participants communicated with each other about the themes of the speeches in the first session, and also showed their interests and expectation for the following part. 
 

The second session began with Ms. Yuexi Yao’s speech on Research on the Establishment of Red-Chip Structure and the Legal Issues of Cayman Economic Substance Law based on her rich experience in cross-border investment and financing. She teased the main rules of law in China relevant to the red-chip structure construction, and then analyzed and interpreted the latest policies of the Cayman Economic Substantial Law to the attendees.
 

Partner Hailei Shi of Beijing DHH (Shanghai) Law Firm delivered a speech on Review of Overseas Tax Structures under the BVI and Cayman Economic Substance Law. He introduced the background and main ideas of Cayman Economic Substance Law, and then analyzed its main influences as well as the countermeasures to the problems and risks of the aforementioned analysis.
 

During the final interaction session, the participants raised several questions on the content and application of the Cayman Economic Substantive Law, which were answered in details by honored speakers. All the participant representatives spoke highly of the Seminar for providing opportunities to better understand the differences among Scientific Innovation, Hong Kong Stocks and U.S. Stocks as well as the Cayman Economic Substantive Law. They also expressed the hope that there would be more activities similar to this Seminar.
