Practice Experience:

From 1999 to 2013, Dr. Huang served as Chief Legal Counsel of an Aviation Group and served in senior management positions in its heaquarter and affiliates, responsible for organizing and managing the legal works of all member companies of the group, as well as the internal audits and risk control management of the companies. The business involves aircraft introduction (purchase, leasing) of aviation companies, mergers and acquisitions between aviation companies, hotel groups mergers and acquisitions, tourism group mergers and acquisitions, airport group mergers and acquisitions, airport reconstruction and expansion projects, commercial group mergers and acquisitions, corporate listing and post-listing business Restructuring (involving 8 listed companies), litigation handling of major difficult cases, etc. The business scope covers Hong Kong, Europe, Beijing, Haikou, Xi'an, Taiyuan, Changchun, Guangzhou, Shandong, Hubei and other provinces and cities.

Dr. Huang also served as the general manager of the audit and legal affairs department of the headquarter of a well-known enterprise group, the general manager of the project investment department (mergers and acquisitions), the general manager of the airport infrastructure management department (airline comprehensive base construction, airport reconstruction and expansion), and the group human resources department General manager, as well as the president of the hotel group under the group, the president of a provincial tourism group company, the chairman and party secretary (provincial state-owned department-level enterprise), the real estate group CEO (real estate development, golf course construction), and the vice president of the property holding group (senior management positions such as commercial real estate mergers and acquisitions.

Since 2014, Dr. Huang has been a full-time practicing lawyer. Acting as the main legal counsel for many large enterprise groups on compliance, risk control and major and difficult special matters. At the same time, Dr. Huang provides services for investment and development, construction and operation, property transformation and property transformation of many investment companies and real estate companies. The business scope covers Hong Kong, Beijing, Tianjin, Hainan, Guangdong, Shandong, and Northeast China. 1、Responsible for the merger and reorganization of state-owned enterprises China Xinhua Airlines, Shanxi Chang'an Airlines, and Shanxi Airlines for a listed company, completing all the work of corporate restructuring, restructuring, historical issues, case handling, etc., as the legal project leader.

2、Responsible for all major legal projects of an aviation group from 1999 to 2013, including dispute resolutions and special legal services, including, but not limited to, the legal services for aircraft import (purchase, financial leasing, operating lease, etc.) of a famous airline for consecutive years (review agreements, etc.),the legal services for airline hangar construction project, legal services for aviation base construction project (1500 acre land planning, construction and operation), flight simulator training center construction, and Spanish government loan special legal services for simulator equipment (4 simulators), etc.

3、Represented an aviation group company to settle and enforce a 2 billion yuan loan guarantee dispute between an aviation group company and a provincial airport group company, successfully realized debt-to-equity swaps, and realized the objective of the principal to sharehold and operate Sanya Phoenix International Airport.

4、Responsible for the establishment of the Sanya Aviation Tourism Vocational and Technical College, including application for land acquisition, school permit preparation, recruitment of teachers, overall campus planning, construction and operation, etc. The college was rated as a national key private technical college and a model of international cooperation in running schools (part of the colleges and departments cooperated with Austria).

5、Responsible for assisting a private company in Hong Kong to purchase 3 private business jets and operate and manage them (total price of the aircraft was 600 million yuan).

6、Represented an airline and an aviation leasing company in a foreign-related arbitration dispute over the operating lease of three Boeing aircrafts, with a dispute of 300 million yuan.

7、Successfully bidded for the core enterprise of China's central enterprises: Commercial Aircraft Corporation of China Global Lawyer Bank, and plans to provide international legal compliance services for large aircraft projects.

8、Responsible for the acquisition of a provincial state-owned enterprise: Jilin Province Tourism Group Co., Ltd. special legal consultation included restructuring and reorganization and transitional operation.

9、Responsible for the special legal services for the transformation and upgrading of a group company's Sanya seaside property hotel, with a total investment of 1.2 billion yuan. All work involving small owners' voting, repurchase, replacement, project demolition, construction, approval, and operation.

10、Responsible for the special legal services for the development of Sanya high-end residential apartments for a group company. The total investment was sum up to 500 million yuan.

11、Responsible for legal services of commercial operation for a joint venture company with a Canadian company.

12、Responsible for resolving a legal dispute between an aviation group and the Gome in respect of a 5.75 billion yuan project. Successfully forced the Gome to take the initiative to withdraw the lawsuit and finally settle the case.

13、Represented a listed company in coordination the unblocking and certifying work of the judicial seizure of its commercial real estate in Shenzhen. Completed the commission as quickly as possible (the value of the disputed case was 30 million Yuan).

14、Representing a listed petroleum engineering company in the international arbitration of an overseas Iraqi engineering contract dispute (LCIA is in progress and the bid value is US$30 million).

15、Representing a petroleum engineering company in an international arbitration case (ICC, in progress) on a loan dispute with its American shareholder.

16、Representing a listed company in the arbitration of a loan guarantee dispute (Shenzhen International Arbitration Court is in progress, the disputed case is worth 100 million yuan).

17、Acting as an agent in the execution of a dispute over a certain group company's fund investment repurchase obligation with an air travel group company (in progress, the value of the disputed subject matter is 250 million yuan).
